根據(jù)泰國有關(guān)法律、法規(guī)和有關(guān)規(guī)定,甲乙雙方在平等、自愿的基礎(chǔ)上,經(jīng)友好協(xié)商一致,就商場貨架租賃的相關(guān)事宜達(dá)成協(xié)議如下:
  In accordance with Thailand relevant laws, decrees, pertinent rules and regulations, Party A and Party B have reached an agreement through friendly consultation to conclude the following contract.
 
1.    租賃內(nèi)容/Leased Content
a)    甲方將位于    商場的貨架以及其配套租賃給乙方。
Party A will lease to Party B the goods shelve and attached facilities herewith in the market which is located at        owned by Party A,.
              .
b)    甲方租賃給乙方的貨架規(guī)格為長     寬       高       (米)。
The registered size of the goods shelve is     length      width and     height .(meter)
 
c)    甲方為乙方提供的貨架配套設(shè)施內(nèi)有:貨架、倉庫、銷售人員及供配電等設(shè)備。
Party A will offer Party B the attached facilities including: goods shelves, storehouses, salesmen and electricity, etc.
 
2.    租賃期限/ Lease Term
a)    租賃期限自____日___月___年起至____日___月___年止,為期___月。
The lease term will be from___(day) ___(month) ___  (year) to___(day) ___(month)      ___  (year). Total: ___ months.
 
3.    租金及其它費(fèi)用 Rental and Other Expenses
a)    雙方商定月租金為每月___  泰銖整。共計(jì):___泰銖整。
The monthly rental will be___ Bath. Total: ___     Bath.
 
b)    每一個(gè)租賃月度按實(shí)際租賃天數(shù)計(jì)算,每月按30天計(jì)算。
Each monthly lease is according to the actual rental days and each month is according to 30days.
 
c)    甲方從乙方的月銷售額中提成5%作為銷售人員的提成獎(jiǎng)勵(lì)。
Party A will take 5% from Party B’s monthly sales as the royalty rewards for the salesmen.
 
d)        甲乙雙方如有特殊約定,可在本款另行約定Other special terms will be listed bellows:
                                                                                                                     
4.    保證金 Deposit
a)    為確保貨架及其附屬設(shè)施完好,及租賃期內(nèi)相關(guān)費(fèi)用之如期結(jié)算,乙方同意支付給甲方保證金    ___  泰銖整,甲方在收到保證金后予以書面簽收。
Guarantying the good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, Party B will pay___ Bath to Party A as a deposit. Party A will issue a written receipt after receiving the deposit.
 
b)    除合同另有約定外,甲方應(yīng)于租賃關(guān)系消除且乙方遷空、點(diǎn)清并付清所有應(yīng)付費(fèi)用后的當(dāng)天將保證金全額無息退還乙方。
Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and Party B clears the premises and has paid all due rental and other expenses.
 
c)    因乙方違反本合同的規(guī)定而產(chǎn)生的違約金、損壞賠償金和其它相關(guān)費(fèi)用,甲方可在保證金中抵扣,保證金不足部分乙方必須在接到甲方付款通知后十日內(nèi)補(bǔ)足。
In case Party B breaches this contract, Party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit. In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the notice of payment from Party A.
 
附注Note:
a)    乙方商品出現(xiàn)質(zhì)量問題時(shí),甲方會(huì)視情況解決,協(xié)商調(diào)換商品或以乙方的保證金先行賠付。
When the products of Party B have quality problems, Party A will solve the problems by himself first in the way such as exchange the products or compensate by using the deposit of Party B.
 
b)    如乙方未租滿本合同規(guī)定租賃時(shí)間,則保證金不予退還。
If Party B doesn’t rent the goods shelves as long as the contract required, then Party A will not pay back the deposit.
 
5.    甲方的權(quán)利與義務(wù) Rights and Obligations of Party A
a)    甲方應(yīng)保證乙方所售物品完好,如因?yàn)榧追降墓ぷ魇д`導(dǎo)致乙方商品丟失或損壞,甲方應(yīng)按其成本價(jià)格賠償乙方。
Party A should guarantee Party B’s products intact. If, because of Party A’s failures leading to Party B’s products is damaged or lost, then Party A should compensate Party B according to the cost of damaged or lost products.
 
b)    甲方對乙方所租賃的貨架裝飾或改造時(shí)的方案進(jìn)行監(jiān)督和審查并及時(shí)提出意見。
Party A has right to examine and suggest the decoration of the goods shelves Party B rent.
 
c)    如果乙方違反泰國法律、法規(guī)、政策,甲方有權(quán)停止其銷售。
Party A has right to stop selling in case Party B’s products are contraband.
 
d)    甲方應(yīng)于每月5日將乙方上月營業(yè)額扣除5%后交付乙方。
Party A should pay to Party B the sales of last month and take off 5% as the royalty rewards for the salesmen.
 
e)    在合同期滿后,甲乙雙方續(xù)租時(shí),甲方可以根據(jù)市場實(shí)際情況增加租金。
After the expiry of the contract, Party A has right to increase the rental of next contract period according to the marketing.
 
f)     在合同期間,乙方商品視為甲方所有,甲方對其有經(jīng)營權(quán)。
During the contract period, the goods of Party B will be deemed to belong to Party A and Party A has the managing right of it.
 
6.    乙方的權(quán)利與義務(wù) Rights and Obligations of Party B
a)    乙方應(yīng)按合同的規(guī)定按時(shí)支付定金、租金及保證金。
Party B will pay the rental, the deposit and other expenses on time according to the contract.
 
b)    乙方應(yīng)在泰國法律、法規(guī)、政策允許的范圍內(nèi)寄賣物品。
Party B should ensure its products are not contraband according to the laws of Thailand.
 
c)    在合同期內(nèi),乙方對所租賃的貨架有合法使用權(quán)。
During the contract period, Party B has legal right to use the goods shelves it rent.
 
d)    在合同期內(nèi),甲方再次引進(jìn)同類商戶進(jìn)入商場,乙方有權(quán)要求雙方協(xié)商解決。
During the contract period, Party B has right to require resolutions under the peaceful consultation, if Party A introduce the similar business into the market again.
 
附注Note:
a)    同類商業(yè):相同品牌及款式的產(chǎn)品。The similar business means the same brands and styles.
 
7.    付款方式及時(shí)間 The Manner and Time of Payment
a)    乙方在簽訂合同時(shí)支付給甲方第一個(gè)月租金及保證金。 之后每期租金于每月5日前交付。先付后用。甲方收到租金后予書面簽收或短信回復(fù)。
Party B should pay the first month rental and deposit to Party A when signing the contract. Each monthly lease should be paid before 5th of every month. Party B will pay the rental before using the goods shelves and attached facilities. Party A will issue a written receipt or message reply after receiving the payment.
 
b)    甲乙雙方如有特殊約定,可在本款另行約定。Other special terms will be listed bellows:
                                                                                                                     
附注/Note:
a)    乙方可以采用現(xiàn)金或者銀行轉(zhuǎn)賬的方式向甲方支付租金。
Party B can use any kind manners to do the payment, like cash or remittance.
 
b)    銀行轉(zhuǎn)賬時(shí),乙方應(yīng)保存相關(guān)憑據(jù),并在匯款后以電話或者短信的形式通知甲方查收。待甲方確定轉(zhuǎn)賬成功后,以短信形式回復(fù)確認(rèn)收款。
After remitting, Party B should keep the bank credentials and ask Party A to ensure the remittance by phone or text. Party A will issue a message reply after receiving the payment.
 
c)    若乙方以匯款形式支付租金,則以匯出日為支付日,匯費(fèi)由匯出方承擔(dān)。
In case Party B pays the rental in the form of remittance, the date of remitting will be the day of payment and the remittance fee will be borne by the remitter.
 
8.    續(xù)租Renewal
a)    在本合同期滿后,在相同條件下,乙方有優(yōu)先續(xù)租權(quán)。
After the expiration of this contract, Party B has the priority right to renew at the same conditions.
 
b)    乙方在租賃期滿前15天,如需要退租或續(xù)租,應(yīng)提前15天通知甲方,由雙方另行協(xié)商退租或續(xù)租事宜。
Within 15days before the contract expires, Party B will notify Party A if it intends to renew or surrender.
 
c)    甲方在租賃期滿前15天,如不將與乙方續(xù)租,應(yīng)提前15天通知乙方,由雙方另行協(xié)商退租事宜。
Within 15days before the contract expires, Party A will notify Party B if it is not going to extend the contract with Party B.
 
9.    違約Breach of the contract
a)    甲乙雙方簽訂的租賃合同后,乙方交納第一個(gè)月租金及保證金后,甲方未能按時(shí)向乙方提供貨架及其配套設(shè)施,屬于甲方違約。甲方應(yīng)每天按月租金的1%向乙方支付延期違約金,直至甲方向乙方提供貨架及其配套設(shè)施或雙方協(xié)商終止合同。
If Party A cannot offer the goods shelves and attached facilities to Party B on time after the lease contract becomes effective and Party B paid the first month rental and deposit. Then Party A breaches the contract, so Party A should compensate Party B 1% of the monthly rental every day until Party A offers the goods shelves and attached facilities to Party B or both Parties decide to terminate the contract.
 
b)    在合同有效期內(nèi),未經(jīng)乙方同意,甲方單方面提高租金,乙方有權(quán)拒絕支付超額部分租金。
During the contract period, in case Party A increases the rents without consent of Party B, Party B has right to refuse to pay the excess rents.
 
c)    在合同有效期內(nèi),任何一方單方面取消、中斷合同,應(yīng)提前十天通知對方,并且支付違約金5,000泰銖整。
During the contract period, any Party wants to terminate the contract should notice another Party 10 days before, and should compensate 5,000Bath to another Party.
 
d)    若乙方逾期支付租金超過五天,則每天以月租金的1%支付滯納金;如乙方逾期支付租金超過十四天,則視為乙方自動(dòng)退租,構(gòu)成違約,甲方有權(quán)收回房屋,沒收保證金,并追究乙方違約責(zé)任。
In case the rental is more than five days overdue, Party B will pay 1% of monthly rental as overdue fine every day, if the rental be paid 14 days overdue, Party B will be deemed to have withdrawn from the goods shelves and breach the contract. In this situation, Party A has the right to take back the goods shelves, confiscate the deposits and take actions against Party B's breach.
 
e)    因不可抗拒的因素引起本合同不能正常履行時(shí),不被視為違約。甲方應(yīng)將乙方實(shí)際損失天數(shù)的租金退還給乙方。
Due to the force majeure cannot properly perform the contract, don’t be deemed to breach the contract. Party A will pay the rental back to Party B according to the actual losing days.
 
f)     因甲方原因使乙方未能正常營業(yè),給乙方造成的經(jīng)濟(jì)損失,由甲方承擔(dān)責(zé)任并賠償乙方經(jīng)濟(jì)損失。
Due to the Party A’s factors cannot properly perform the contract, and caused the economic losses of Party B. Party A should compensate Party B for the economic losses.
 
10.   合同生效和糾紛解決/ Commencement and Dissolution of The Contract
a)    本合同附件是本合同的有效組成部分,與本合同具有同等法律效力。
Any annex is the integral part of this contract. The annex and this contract are equally valid.
 
b)    本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲乙雙方可另行協(xié)商。
This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party's agreement. Anything not covered in this contract will be discussed separately by both parties
 
c)    若雙方在執(zhí)行本合同或與本合同有關(guān)的事情時(shí)發(fā)生爭議,應(yīng)首先友好協(xié)商;協(xié)商不成,可向有管轄權(quán)的人民法院提起訴訟。
Both Parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any Party may summit the dispute to the court that has the jurisdiction over the matter.
 
d)    本合同壹式貳份,甲乙雙方各執(zhí)一份。
There are 2 originals of this contract. Each Party will hold 1 original(s).
 
11.   其它Others
a)    甲方營業(yè)時(shí)間根據(jù)商場正常營業(yè)時(shí)間為準(zhǔn)。
Party A’s business hours based on the business hours of shopping goodss.
 
b)    若中英泰文版本之條款含義有差異時(shí),以泰文版本說明為準(zhǔn)。
In the event of inconsistency between Thai, English and Chinese versions of these terms and conditions, the Thai version shall prevail.
 
c)    甲乙雙方如有特殊約定,可在本款另行約定。Other special terms will be listed bellows:

甲、乙方有效身份證明復(fù)印件The copies of valid identification of Party A and Party B.
